Terms of Service

1. Agreement

These Terms govern your use of the Neara platform (the "Service"), operated by Neara ("Neara", "we", "our"). By creating an account, submitting an application, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Service. You agree to provide accurate, current, and complete information about yourself.

3. What Neara does — and does not — do

  • Neara is a platform that connects candidates with employers. We are not your employer, agent, recruiter, or representative.
  • Hiring decisions, offers, contracts, compensation, and the employment or contractor relationship are exclusively between you and the employer.
  • We do not guarantee that you will be hired, contacted, matched, or receive any specific outcome from using the Service.

4. Your content

You retain all rights to the content you submit (resume, video recordings, profile information, "Your Content"). You grant Neara a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and share Your Content as strictly necessary to operate the Service — which includes sharing your application with the employer of the role you applied to. This license ends when you delete Your Content, except where retention is required for legal or security reasons.

You represent that Your Content does not infringe any third-party rights and does not contain unlawful, defamatory, or misleading material.

5. Acceptable use

You agree not to:

  • Submit false, misleading, or impersonating information.
  • Apply on behalf of another person without authorization.
  • Upload malicious code, attempt to disrupt the Service, or bypass security measures.
  • Scrape, copy, or resell Service content without our permission.
  • Use the Service to harass, defame, or discriminate against any person.

We may suspend or terminate your account if you breach these rules.

6. Employers using the Service

Employers using the Service agree to use candidate data solely to evaluate the application, to comply with all applicable employment and non-discrimination laws, and to make hiring decisions independently. Employers are responsible for their own hiring practices and any consequences of their decisions.

7. Accounts

You are responsible for keeping your credentials confidential and for activity under your account. Notify us immediately at privacy@contact.nearaai.com if you suspect unauthorized use.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law. We do not warrant uninterrupted, secure, or error-free operation.

9. Limitation of liability

To the maximum extent permitted by applicable law, Neara is not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) USD 100. Nothing in these Terms limits liability that cannot be limited under applicable law, including any mandatory consumer-protection rights.

10. Termination

You may stop using the Service at any time and may request deletion of your data as described in the Privacy Policy. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (e.g., content license to the extent necessary, disclaimers, limitations of liability) will survive.

11. Changes to the Service or these Terms

We may modify the Service or these Terms. Material changes to the Terms will be communicated through the Service or by email. Continued use after the changes take effect constitutes acceptance.

12. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Neara is established, without regard to conflict-of-law principles. Any dispute will be resolved by the competent courts of that jurisdiction, unless mandatory law in your place of residence requires otherwise. Nothing in this clause limits any mandatory consumer-protection rights you may have under your local law.
